We refer to this as “User Content”.
You retain ownership of your User Content to the extent that you own the underlying rights.
By submitting User Content to engine.ly, you grant us a limited right to host, process, transmit, reproduce and otherwise use that content only as reasonably necessary to provide, operate, secure and improve the Services.
You are responsible for your User Content and must ensure that you have the rights and permissions necessary to use it.
7. Ownership of Generated Output
Subject to applicable law, third-party rights and any restrictions relating to underlying content or services, engine.ly does not claim ownership of AI-generated output created specifically for you through your use of the Services.
You may generally use generated output for personal or commercial purposes.
However, you acknowledge that:
- AI-generated output may not always qualify for intellectual property protection
- Similar or identical output may be generated for other users
- Output may include material resembling existing content
- Third-party licences may apply to software libraries, code, models, assets or other components
- You are responsible for verifying whether your intended use infringes third-party rights
engine.ly does not guarantee that generated content is unique, copyrightable, patentable, trademarkable or free from third-party claims.
8. Open-Source and Third-Party Software
Projects created using engine.ly may contain or depend on open-source software, libraries, frameworks, packages or other third-party components.
Those components remain subject to their applicable licences and terms.
You are responsible for reviewing and complying with applicable third-party licences before distributing or commercially using a project.
Nothing in these Terms overrides the terms of an applicable open-source licence.
9. Third-Party AI Providers and Integrations
engine.ly may integrate with external services including:

Use of those services may be subject to separate terms, fees and privacy policies.

If you connect your own third-party account, credentials or API key, you are responsible for that account and for any associated usage or charges.

13. Generated Applications and User Responsibility

You are solely responsible for projects you create, publish or operate.

- Ensuring legal compliance

Use of engine.ly does not automatically make your application secure, compliant or suitable for production use.

16. Automatic Renewal
Where a subscription is offered on a recurring basis, it may automatically renew at the end of each billing period unless you cancel it before renewal.
The applicable renewal period and price will be displayed during purchase or within your account.
You can cancel a recurring subscription through the available account or billing controls.
Cancellation stops future renewal but does not normally result in an automatic refund for a billing period already started.
17. Credits and Usage-Based Features
Some features may operate using credits, usage allowances or other consumption-based limits.
Credits may:
- Be consumed when certain AI or platform features are used
- Vary depending on the provider, model or operation
- Have limits or expiry periods where clearly disclosed
- Be non-transferable between accounts unless expressly supported
Unless required by law or otherwise stated, used credits are not refundable.
We may change credit costs or usage limits for future transactions or billing periods.
18. Free Plans and Trials
We may offer free plans, promotional credits or trial access.
Free and trial features may have limitations relating to:

We may modify or discontinue free plans or promotional programmes.
Where reasonably possible, material changes affecting existing users will be communicated appropriately.
19. Refunds

Unless otherwise stated or required by law, payments for completed billing periods, consumed credits or services already provided may be non-refundable.

engine.ly and its underlying Services, including our software, interface, design, branding, logos, proprietary technology and related materials, are owned by or licensed to engine.ly.
Except for rights expressly granted under these Terms, no ownership rights in engine.ly are transferred to you.
You must not copy, reproduce, sell, licence or commercially exploit protected portions of engine.ly except where expressly permitted.
22. Feedback

Providing feedback does not transfer ownership of your unrelated User Content or projects.

- AI-generated output will be accurate
- Generated code will be secure
- Generated projects will meet every requirement
- Third-party services will remain available
- Every generated result will be unique
- Use of generated output will be free from third-party claims
You are responsible for evaluating whether the Services and generated outputs are appropriate for your intended use.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
31. Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
To the maximum extent permitted by applicable law, engine.ly will not be liable for indirect, incidental, special or consequential losses arising from your use of the Services.
This may include loss of:

- Revenue
- Business opportunities

- Goodwill
- Expected savings
Where permitted by law, our total liability relating to the Services will not exceed the amount you paid to engine.ly for the Services during the 12 months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, engine.ly is not responsible for business losses resulting from your reliance on unreviewed AI-generated content.
33. Consumers
If you use engine.ly as a consumer, nothing in these Terms affects statutory consumer rights that cannot be excluded or limited by contract.
Certain provisions of these Terms may therefore apply differently depending on your jurisdiction and whether you are acting as a consumer or business.
34. Indemnity
If you use engine.ly for business or commercial purposes, you agree, to the extent permitted by law, to indemnify engine.ly against claims, damages, losses and reasonable costs arising directly from:

- Your User Content
- Your material breach of these Terms

If you are a consumer, you may also have rights to bring proceedings in the courts applicable to your place of residence where required by law.
For business users, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, unless otherwise agreed in writing.
